Edward P. Kelly, Esquire
Edward P. Kelly joined Raffaele Puppio in 2013 as a Partner and the Chair of the Commercial Real Estate and Business Transactions Department.
Ed advises businesses and business owners in a variety of corporate matters, from entity formation to mergers and acquisitions to the lease of office space or purchase of real estate. He represents clients in various corporate, real estate and transactional matters.
Ed provides legal counsel to individuals and companies regarding business entity formation and governance. He negotiates and drafts shareholders’ agreements, LLC operating agreements, limited partnership agreements, joint venture agreements and confidentiality/non-competition agreements. He negotiates and drafts loan documents for secured lending transactions, drafts sale/purchase agreements and real estate loan documents, and he structures, drafts and negotiates the sale, acquisition, development, lease or sublease of commercial properties of various sizes. In addition, Ed represents landlords and tenants in office and retail leasing matters, and advises borrowers and lenders in commercial loan transactions.
Ed was named a Pennsylvania Rising Star in 2010, 2013 and 2014 by Thomson Reuters, published annually in Philadelphia magazine. He is the 1st Ward Commissioner in Springfield Township (Delaware County) and is a Committeeman for the Springfield Republican Party. He previously was a member of the Springfield Zoning Hearing Board. Ed is a Class Agent for the Malvern Prep Alumni Association, a member of the University of Pennsylvania Alumni Association and Vice President of the Class of 1996 Board, and is Past President of The Boston University School of Law Philadelphia Young Alumni Council.
Often a speaker at Bar Association events, Ed has authored articles for the Commerce Case Management Program Decisions Project. In addition, he was a member of the Editorial Board of the Philadelphia Bar Reporter from 2008 until 2013.
He obtained his Bachelor’s Degree from the University of Pennsylvania and Juris Doctorate from The Boston University School of Law.
Ed is married to the former Rebecca Grossman, who is an Education Consultant at the Delaware County Intermediate Unit. They live in Springfield with their two children.
